Terms of Service

Please read these terms before using Nexus. By creating an account, purchasing a subscription, or using the service, you agree to these terms. If you do not agree, do not use Nexus.

1. About these terms

These Terms of Service govern your use of Nexus (nexusroom.app), a private video conferencing platform. Nexus is operated as a sole trader business licensed in the United Arab Emirates.

These terms apply to administrators and hosts who create accounts and purchase subscriptions. Guests who join calls via a room link are subject to the acceptable use rules in Section 6 but are not required to create an account or agree to these terms explicitly.

2. The service

Nexus provides private, invite-only video rooms for organisations, groups, and clubs. You purchase a subscription for a room, which gives you access to the features included in your chosen tier.

We reserve the right to update, modify, or discontinue features of the service at any time. We will give reasonable notice of significant changes that affect your subscription. Minor updates and improvements may be made without notice.

Nexus is operated by a sole trader. We will always try to give as much notice as possible of any significant changes, but cannot guarantee continuity of any specific feature indefinitely.

3. Accounts

To purchase a subscription and manage a room you must create a Nexus account. You are responsible for:

  • Providing accurate information when creating your account
  • Keeping your login credentials secure
  • All activity that occurs under your account
  • Notifying us immediately if you become aware of any unauthorised use of your account

Hosts sign in via Google Sign-In. You are responsible for maintaining the security of your Google account. We are not liable for any loss resulting from unauthorised access to your Google account.

4. Subscriptions and billing

4.1 How subscriptions work

Subscriptions are charged monthly, per room. Each room is a separate subscription. You choose a tier at the time of purchase — the tier determines the participant limit and features available for that room.

4.2 Free trial

All new subscriptions include a 14-day free trial. No payment is taken until the trial period ends. You can cancel at any time during the trial at no cost. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged.

4.3 Billing and renewal

Subscriptions renew automatically on a monthly basis. Your payment method will be charged on the same date each month. You authorise us to charge your payment method for recurring monthly fees until you cancel.

If a payment fails, your room will remain active for a 7-day grace period. We will attempt to retry the payment during this period. If payment is not successfully collected within 7 days, your room will be suspended until payment is resolved.

4.4 No refunds

All payments are non-refundable. There are no refunds for partial months, unused time, or any other reason. This does not affect your statutory rights where applicable under UAE law.

If you cancel your subscription, your room remains active until the end of the current billing period. You will not be charged for the following month.

The 14-day free trial exists precisely so you can evaluate Nexus before committing. We encourage you to make full use of it.

4.5 Price changes

We reserve the right to change subscription prices. We will give at least 30 days' notice of any price increase by email to your account address. Price changes take effect at the start of your next billing period following the notice period. If you do not wish to continue at the new price, you may cancel before the change takes effect.

5. Fair use policy

5.1 What fair use means

Social tier subscriptions (Circle, Group, Club) include a monthly fair use cap of 50 room hours as set out in Section 4.1. A room hour is counted as one hour of active call time in a room, regardless of participant count. Professional tier subscriptions (Pro, Business, Corporate) have unlimited hours.

The fair use caps are generous — a room used weekly for two-hour sessions uses approximately 8 hours per month, well within the cap. The caps exist to protect the service for all customers and to prevent a small number of unusually heavy users from degrading the experience for others.

5.2 What happens if you exceed the cap

If your room approaches or exceeds its monthly fair use cap, we will contact you by email. We will not immediately suspend your room. Our approach is:

  • First occurrence — we will notify you and suggest upgrading to a Professional tier if your usage pattern warrants it.
  • Repeated excess — we may require you to upgrade to a Professional tier as a condition of continuing your subscription.
  • Extreme excess — usage that is clearly incompatible with the subscription tier may result in account suspension or termination at our discretion.

5.3 Cap reset

Fair use caps reset at the start of each calendar month. Unused hours do not roll over to the following month.

6. Acceptable use

6.1 What you may not use Nexus for

  • Any illegal activity or purpose, including but not limited to fraud, money laundering, or distribution of illegal content
  • Harassment, abuse, threats, or intimidation of any person
  • Distributing malware, spyware, or other harmful software
  • Attempting to gain unauthorised access to any part of the Nexus platform or its infrastructure
  • Scraping, crawling, or otherwise extracting data from the platform by automated means
  • Building, operating, or promoting a competing video conferencing service using Nexus infrastructure
  • Reselling or sublicensing access to your Nexus room to third parties without our prior written consent
  • Any use that repeatedly exceeds your subscription tier's fair use cap without upgrading
  • Any use that violates applicable UAE law or the laws of the jurisdiction in which you are located

6.2 Your responsibility for your room

As an administrator, you are responsible for how your room is used. This includes the conduct of hosts you assign and guests you admit. You must not grant room access to anyone you have reason to believe will use the service in violation of these terms.

6.3 Guests

Guests who join via a room link are subject to these acceptable use rules even though they do not hold accounts. Administrators are responsible for removing guests who violate these rules and for not re-admitting them.

6.4 Cooperation with law enforcement

Nexus is private, but it is not a sanctuary for illegal activity. The prohibitions in Section 6.1 are enforceable, and we will act on them.

Where we receive a valid legal request from a competent authority — for example a court order, subpoena, search warrant, or equivalent binding instrument — we will cooperate and provide whatever responsive data we hold, as set out in our Privacy Policy. Where we have reasonable grounds to suspect serious criminal activity, we may also report it to the appropriate authority on our own initiative.

7. Termination and suspension

7.1 Cancellation by you

You may cancel your subscription at any time via the billing portal. Cancellation takes effect at the end of the current billing period. Your room remains active until that date. No refund is provided for the remainder of the billing period.

7.2 Suspension or termination by us

We reserve the right to suspend or terminate your account and subscription at any time, with or without notice, and for any reason or no reason. Circumstances in which we are likely to suspend or terminate include:

  • Non-payment — failure to pay subscription fees within the 7-day grace period
  • Violation of the acceptable use policy in Section 6
  • Providing false information when creating your account
  • Any use of the service that we determine to be harmful to Nexus, its infrastructure, or other customers
  • Any other reason at our sole discretion

We operate as a small independent service and reserve the absolute right to decline service to anyone. We do not expect to exercise this right arbitrarily, but we will not hesitate to do so where necessary to protect the service and its users.

7.3 Effect of termination

On termination or cancellation, your room will be suspended and access will be removed. Your room data — settings, chat history, audit logs — will be retained for 30 days following suspension, after which it will be permanently deleted. You may request early deletion by contacting [email protected].

We are not liable for any loss of data or access resulting from termination, whether initiated by you or by us.

7.4 Right of refusal

We reserve the right to refuse to provide the service, refuse renewal of a subscription, or decline to create an account for any person or organisation, at our sole discretion and without being required to provide a reason.

8. Service availability

We aim to maintain 99.9% uptime for the Nexus platform. We will use reasonable endeavours to minimise downtime, including scheduled maintenance where possible being conducted outside peak hours with advance notice.

However, we do not guarantee uninterrupted access to the service. The platform depends on server infrastructure including Hetzner hosting. Outages or degradation of these services may affect Nexus availability without advance notice.

We are not liable for any loss, disruption, or inconvenience caused by service unavailability, whether planned or unplanned.

Service status is published at nexusroom.app/status. We will update this page promptly in the event of any known outage or degradation.

9. Limitation of liability

  • Nexus is provided on an 'as is' and 'as available' basis without warranties of any kind, express or implied.
  • We do not warrant that the service will be uninterrupted, error-free, or free from viruses or other harmful components.
  • We accept no liability for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service.
  • We accept no liability for any loss of data, loss of revenue, loss of business, or any other loss arising from your use of the service.
  • We accept no liability for the conduct of hosts, guests, or any other users of your room.
  • Our total liability to you for any claim arising from these terms or your use of the service shall not exceed the amount you paid us in the 30 days preceding the event giving rise to the claim.

Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation, to the extent such limitation is not permitted by law.

10. Intellectual property

Nexus and all content, software, and materials on the platform are owned by or licensed to us. You may not copy, reproduce, distribute, or create derivative works from any part of the service without our prior written consent.

You retain ownership of any content you create or share through the service, including chat messages, uploaded files, and room branding. By using the service you confirm that you have the right to share any content you upload or transmit through Nexus.

We do not claim any ownership over content shared through your rooms.

11. Privacy

Your privacy is important to us. Our Privacy Policy explains what data we collect, how we use it, and your rights. The Privacy Policy is incorporated into these terms by reference.

12. Changes to these terms

We may update these terms from time to time. When we do, we will update the date at the top of this page and notify paying customers by email at least 14 days before the changes take effect. If you continue to use the service after the changes take effect, you accept the updated terms. If you do not accept the changes, you may cancel your subscription before they take effect.

13. Governing law and disputes

These terms are governed by the laws of the United Arab Emirates. Any dispute arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.

We will always try to resolve disputes informally in the first instance. If you have a complaint or dispute, please contact us at [email protected] before initiating any legal proceedings.

14. General

  • If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.
  • These terms constitute the entire agreement between you and Nexus regarding your use of the service and supersede all prior agreements.
  • You may not assign your rights under these terms to any third party without our prior written consent.
  • We may assign our rights and obligations under these terms in connection with a sale or transfer of the business.
